This Licence sets out the terms on which you can use the platform.

1.1. Your licence will automatically renew each year on the anniversary of this date until it is cancelled by either of us giving written notice to the other atleast 90 days prior to the anniversary date.
1.2. If you want to cancel the Licence you must email us atcoach@thehoneycombworks.com with ‘Agreement cancellation’ included in the subject line.
2. SERVICES INCLUDED IN THE LICENCE
Honeycomb licences:
● 12 month access for your organisation
● unlimited self-directed, consecutive 360 feedback requests
● impact statements and behaviours for up to 15 cells covering key topics
● supporting tips for each behaviour Analysis
● Quarterly analysis and reporting of progress/results with recommendations
● Culture and belonging surveyInvitations to workshops and events
● Roundtable discussions and panels
● Discussions for founders and leaders
● Online webinars and workshops: Access to live or recorded events such as:
○ Introduction to belonging
○ Practical workshops on specific topics
Excluded Services
Single sign on integration not included in this agreement but available at additional cost.
Bespoke Honeycomb design for your organisation not included in this agreement but available at additional cost.
One to one coaching is not included in this agreement but available at additional cost.
Licence fees and Payment
The first 12 months licence fees are funded by the Royal Academy of Engineering.
See ‘your obligations’ section below for details of what is required of you.
After the first 12 months licence fees are payable by you. Licence fees are payable annually in advance and are non-refundable.
We will invoice you annually for the licence fees due 30 days before the Licence anniversary. Our invoices are payable on 28 days.
If our invoices are not paid when due (without good reason or without prior agreement with us) we will suspend access to the platform until we receive payment.
Licence fees will be calculated as follows:
Up to 5 people: £500 for 12 months access to the platform
Up to 20 people: £2000 for 12 months access to the platform
+ additional people £8 per person per month up to 100 people
+ additional people £5 per person per month for 101+ to 250 people
User number increase of up to 10% from time of invoice will not be subject to additional charges.
After the first 12 Months the Royal Academy of Engineering offers subsidies for licences. You can apply to the Royal Academy of Engineering for a subsidy which, if successful, you can use to support your payment of Licence Fees
If there is an increase in licence fees we will notify you more than 90 days before the Licence anniversary.
Your obligations
In exchange for the 12 months licence fees funded by the Royal Academy of Engineering you are required to:
- have a named contact for us to coordinate onboarding and support
- make the Honeycomb available to everyone in your organisation
- Allow your organisation to be named as a Culture+ participating organisation
Our obligations
We provide support to platform users. Users can get support by reporting an issue by email (coach@thehoneycombworks.com).
We will respond to all queries raised by email and slack within 24 hours of receiving the reported issue Monday to Friday (excluding bank holidays).
We aim to resolve any reported issue as soon as possible. Depending on the nature and complexity of the issue our aim is to fix bugs within three working days from initial reporting of the issue.
We understand how frustrating it can be when systems aren’t available, that's why we aim for 99.9% monthly up time for app users. To do this we need to carry out preventive maintenance and upgrades to the platform from time to time. We will where possible give 24 hours notice of any scheduled maintenance.
3. DATA PROTECTION AND SHARING
The personal data we collect from you is
- Contact details for a named contact for coordination of research activities
- Contact details for named contact for management of the Licence

We will never share the personal data that platform users enter into the app or provide to us with you.
We will never share the personal data of platform users with the Royal Academy of Engineering.
We will never share your data with the Royal Academy of Engineering.
We will only share with the Academy
1) That your organisation has signed up for the platform
2) The named contact with contact information for management of the platform
We will never sell your personal data or the personal data of platform users to anyone.
We will sometimes share your personal data or the personal data of platform users with third parties contracted to us if they are involved in delivering or improving the platform.
Data security
We take the security of personal data very seriously. Our data security policies are here. We will inform you as soon as we can if we are aware of any breach of data security.
4. TERMS AND CONDITIONS
Platform ownership
The platform and all content on it belongs to us or third parties who we contract with. You may only, for non-commercial use, do the following with platform content:
● retrieve, display and view it on a computer screen
● print a copy
If you want to do anything else you must speak to us first and get our written permission.
Liability
We use all reasonable skill and care in making the platform available to users.
We aim to ensure that reported issues are dealt with as soon as possible. To do this we rely on your cooperation and assistance.
However if it is not possible to resolve an issue within a reasonable time, taking into account its nature and complexity, our liability to you is limited to crediting you with additional days service.
We do not limit or exclude our liability to you in any way that is not permitted by law, specifically we will not limit or exclude our liability for
- death or personal injury resulting from our negligence,
- fraud or fraudulent misrepresentation
We will not be liable to you in respect of
- losses arising out of events beyond our reasonable control.
- any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;
- loss or corruption of any data, database or software;
- any special, indirect or consequential loss or damage.
In any event our liability to you under this Licence will be limited to one year's licence fees.
General
You may not transfer this Licence to anyone else.
We will let you know if the ownership of the platform changes.
Our policies which are linked to this Licence are revised on a regular basis to ensure they are up to date and take into account good practice.
We will inform you if we make a major change to our policies.

We will work to resolve any formal issues with you. If any issue cannot be resolved by our senior executives either of us can refer the issue to mediation in accordance with the Centre for Effective Dispute Resolution Mediation Rules.
This Licence is governed by and interpreted according to English law.
